These terms govern your use of Troxic, a desktop email and calendar application published by [LEGAL ENTITY NAME] (“we”, “us”). By installing or using Troxic you agree to them. If you do not agree, do not use the software.
1. Licence
We grant you a personal, non-exclusive, non-transferable, revocable licence to install and use Troxic on devices you control, for the duration of these terms. We retain all rights not expressly granted. You may not sublicense, resell, or redistribute Troxic.
2. What Troxic is
Troxic is client software that runs on your computer and connects directly to Google's Gmail and Google Calendar APIs using credentials you authorise. We do not operate a mail server, a sync service, or any backend that stores your messages. Troxic is a way of viewing and acting on data that remains yours and Google's.
3. Your account and your responsibilities
- You are responsible for the security of the device Troxic runs on and for the Google Account you connect. Troxic caches your data locally; anyone with access to your unlocked device may be able to read it.
- You are responsible for the content you send using Troxic and for complying with Google's terms, applicable law, and any anti-spam rules that apply to you.
- You may not use Troxic to send unsolicited bulk mail, to harass, or for any unlawful purpose.
- You may not reverse engineer, decompile, or attempt to extract source code from Troxic except to the extent that restriction is unenforceable under applicable law.
4. Google services
Troxic depends on Google APIs. Your use of Gmail and Google Calendar remains governed by your agreement with Google. We are not affiliated with, endorsed by, or sponsored by Google LLC. Google may change, restrict, or withdraw API access at any time, which may impair or disable Troxic's functionality through no fault of ours.
5. Privacy
Our handling of your data is described in the Privacy Policy, which forms part of these terms. In particular, Troxic's use and transfer of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements.
6. Fees
Troxic is currently provided free of charge. If we introduce paid plans we will give at least 30 days’ notice in the application before any charge applies.
7. Updates
Troxic may check for and install updates automatically. Updates may add, change, or remove features. We support the current and immediately preceding release; older versions may cease to function if Google changes its APIs.
8. Disclaimer of warranties
Troxic is provided “as is” and “as available”, without warranty of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that Troxic will be uninterrupted, error-free, or that it will deliver, send, or preserve any particular message. Troxic is not a backup service. Do not rely on it as your only copy of anything.
9. Limitation of liability
To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential or punitive damages, nor for loss of data, profits, revenue, or business, arising out of or relating to your use of Troxic. Our aggregate liability for any claim relating to Troxic is limited to the greater of the amount you paid us for Troxic in the twelve months preceding the claim, or CHF 100. Nothing in these terms excludes liability that cannot lawfully be excluded, including liability for death or personal injury caused by negligence, or for fraud.
10. Indemnity
You will indemnify us against claims, damages and reasonable costs arising from your use of Troxic in breach of these terms or of applicable law.
11. Termination
You may stop using Troxic at any time by uninstalling it and revoking its access at myaccount.google.com/permissions. We may suspend or terminate your licence if you materially breach these terms. Sections 8 through 13 survive termination.
12. Changes to these terms
We may update these terms. Material changes will be announced in the application at least 14 days before they take effect. Continuing to use Troxic after that date constitutes acceptance.
13. Governing law and jurisdiction
These terms are governed by the substantive law of Switzerland, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods. The courts of [CITY], Switzerland have exclusive jurisdiction, except that consumers resident in the EU/EEA retain the protection of mandatory provisions of their local law and may bring proceedings in their own courts.
